Dir, Corporate Counsel

ServiceNow is seeking a Director of Corporate Counsel to lead a two-person team and support the continued growth of the company globally. This is a full-time position reporting to the VP of Corporate and M&A Legal, focused on advising on corporate legal matters, drafting and reviewing documents, and ensuring compliance with regulations. The role is in an exciting, fast-paced environment with a strong emphasis on adaptability and customer focus.

Requirements

• Advise on public company and corporate securities law matters.
• Draft and review SEC filings.
• Coordinate review of earnings, press releases, and internal communications.
• Support public company compliance efforts.
• Assist with corporate governance matters.
• Support executive and director compensation matters.
• Advise on disclosure and sustainability initiatives.
• Assist on securities offerings and financings.
• Be a trusted business partner.
• Manage multiple priorities and pivot between responsibilities.
